Terms of Service

1. Definitions
"Service" means the Yoetz.ai platform, web dashboard, APIs, exports and reports. "Customer" means the legal entity that has accepted these terms. "Tenant" means an HR platform instance (Workday, SAP SuccessFactors, Oracle HCM and similar) that the Customer connects to the Service. "Configuration Data" means metadata describing the structure of a Tenant — security groups, business processes, integrations, calculated fields, role assignments and similar — explicitly excluding any personal data of workers, candidates, dependents, payroll records, compensation amounts or PII.
2. Service description
Yoetz.ai provides automated, read-only Configuration Data analysis of supported HR platform tenants. Output is delivered as written reports, downloadable PDF/CSV exports, signed share links and a web dashboard. Yoetz.ai never writes to a Customer Tenant and never instructs the Tenant to perform actions on workers, payroll or business processes.
3. Authorisation & acceptable use
Customer represents and warrants that it owns each connected Tenant, or that it has received explicit written authorisation from the Tenant owner to scan it. Connecting or scanning a Tenant without authorisation is a material breach and grounds for immediate suspension, termination, forfeiture of fees paid, and reporting to the relevant Tenant owner. Customer further agrees not to: (a) reverse engineer the Service, (b) attempt to bypass DPA, rate limit, or authentication controls, (c) use the Service to attack, probe or stress test any system other than its own authorised Tenants, (d) resell raw Service output as a competing product without a separate written agreement.
4. Account types & honest representation
Yoetz.ai offers separate plans for Internal HR Teams and Consulting Firms. Plans are priced based on the type of buyer and the number of distinct Tenants scanned. Misrepresenting account type, the number of underlying clients, or sharing one seat across multiple consulting engagements is grounds for immediate suspension. Yoetz.ai may, with 7 days' notice, audit Tenant counts and back-bill the difference between the paid plan and the correct plan, plus a 25% administration fee.
5. Data Processing Agreement (DPA)
Before any Tenant can be connected or any scan can be started, Customer must sign Yoetz.ai's Data Processing Agreement via the in-product flow. The DPA is incorporated into and forms part of these terms. Yoetz.ai acts solely as a processor with respect to Configuration Data and never as a controller. Database triggers enforce DPA acceptance — connections and scans are blocked at the database layer if the DPA is not on file.
6. Credentials & security controls
All credentials submitted by Customer are encrypted at rest using AES-256-GCM with per-installation keys, transmitted using TLS 1.3, never logged in plaintext, never displayed back in the dashboard after save, and stored only in a separate, RLS-protected credential store. Customer remains responsible for: (a) provisioning a dedicated Integration System User (or equivalent) with the minimum read-only permissions specified in the connection guides, (b) rotating that ISU's credentials on its own schedule, (c) revoking the ISU at the Tenant level when disconnecting. Disconnecting a Tenant in the Yoetz.ai dashboard immediately deletes the encrypted credentials.
7. AI processing
Executive summaries, AI readiness assessments and remediation explanations are generated by third-party large-language-model providers (currently Anthropic Claude and Google Gemini, via the Lovable AI Gateway). Only de-identified Configuration Data and finding metadata are sent to these providers. No worker PII is ever transmitted to an AI provider. Customer Configuration Data is not used by Yoetz.ai or its subprocessors to train models.
8. API access & rate limits
Programmatic API access is governed by per-plan rate limits published in the documentation. Yoetz.ai may throttle, queue or temporarily suspend access that exceeds limits or that materially impacts Service availability. Yoetz.ai will provide reasonable notice of breaking API changes and maintain at least one prior major version for 6 months.
9. Fees & billing
Subscriptions are billed in advance, in the currency shown at checkout, via Stripe (our PCI-DSS Level 1 payment processor). Yoetz.ai never sees, stores or processes raw card numbers. Prices exclude applicable taxes (VAT, GST, sales tax), which are added at checkout based on the billing address Customer provides. Customer is responsible for keeping billing details, VAT IDs and tax exemption certificates current; back-dated tax adjustments are not issued. Add-on charges (additional Tenants, single-report unlocks, scan credits) are billed on the same cadence as the underlying plan and are pro-rated only where Stripe natively supports pro-ration. Failed charges are retried per Stripe's smart-retry schedule; after 14 days past due, Yoetz.ai may suspend the Service, revoke active share links and pause scheduled scans without further notice. Reinstatement after suspension may require payment of all outstanding balances plus a reactivation fee equal to one month's subscription.
10. No refunds policy
ALL FEES PAID TO YOETZ.AI ARE NON-REFUNDABLE. This applies without exception to: (a) monthly subscriptions, (b) annual subscriptions, (c) one-time scan unlocks, (d) scan credit packs, (e) per-Tenant add-ons, (f) Enterprise contracts, and (g) any partial or unused portion of a billing period. Customer expressly acknowledges that Yoetz.ai's pricing is set in reliance on this no-refund policy and that the Service is delivered immediately upon payment. Yoetz.ai will only consider a refund where required by mandatory consumer-protection law in Customer's jurisdiction (and only to the minimum extent so required), or where Yoetz.ai is unable to deliver the Service due to its own confirmed fault and Customer has not received any meaningful benefit from the affected period. Chargebacks initiated without first contacting contact@yoetz.ai and allowing 10 business days to resolve the dispute are a material breach and grounds for immediate termination, forfeiture of all data, and recovery of chargeback fees and legal costs.
11. Cancellation
Customer may cancel at any time from the in-product Billing page or by emailing contact@yoetz.ai. Cancellation takes effect at the end of the then-current paid period — no refund or pro-rated credit is issued for the unused portion. (a) Monthly subscriptions: Customer may cancel at any time; the Service remains active until the end of the current monthly period and will not renew the following month. (b) Annual subscriptions: Customer may cancel at any time; the Service remains active until the end of the current 12-month period and will not renew. Annual subscribers do not receive a refund for unused months remaining in the year, regardless of when cancellation is initiated. (c) Add-ons follow the cadence of the plan they were attached to. (d) After the paid period ends, the account moves to a read-only state for 30 days so Customer can export data, then full deletion proceeds per section 12.
12. Data retention after cancellation
After cancellation or non-renewal: Configuration Data, scan results, findings, exports and audit logs are retained for 90 days, then permanently deleted from primary storage; encrypted backups roll off within a further 35 days. Customer may export all of its data via the in-product export tools or by API at any time before the 90-day window closes. Yoetz.ai will, on written request from the Customer's account owner, expedite deletion within 14 days subject to legal hold obligations. Aggregated, fully de-identified statistics that cannot be linked back to Customer or any Tenant may be retained for benchmarking and product improvement.
13. Confidentiality
Each party will protect the other's Confidential Information with at least the same care it uses for its own (and in no case less than reasonable care) and will use it only to perform under these terms. Configuration Data is Customer Confidential Information. Yoetz.ai's pricing, product roadmap and security architecture are Yoetz.ai Confidential Information. Confidentiality obligations survive termination for 5 years, or indefinitely for trade secrets and Configuration Data.
14. Service availability
Yoetz.ai targets 99.5% monthly uptime for the dashboard and scan execution layer, excluding scheduled maintenance, force majeure, and Tenant-side outages or rate-limits. The sole and exclusive remedy for missed targets is a service credit applied to Customer's next invoice, calculated as a pro-rata portion of the affected month's subscription fee, capped at one month's fee. Service credits are not refunds, are not redeemable for cash, expire on cancellation, and must be requested in writing within 30 days of the affected month.
15. Warranty disclaimer
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, OR THAT FINDINGS WILL DETECT EVERY POSSIBLE MISCONFIGURATION OR SECURITY ISSUE. YOETZ.AI DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS. CUSTOMER REMAINS SOLELY RESPONSIBLE FOR ALL DECISIONS — INCLUDING REMEDIATION, ACCESS REVOCATION, GO-LIVE READINESS AND COMPLIANCE DETERMINATIONS — MADE BASED ON SERVICE OUTPUT.
16. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, GOODWILL OR BUSINESS INTERRUPTION, EVEN IF ADVISED OF THE POSSIBILITY. EACH PARTY'S AGGREGATE LIABILITY UNDER THESE TERMS IS LIMITED TO THE FEES ACTUALLY PAID BY CUSTOMER TO YOETZ.AI IN THE 12 MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO LIABILITY. NOTHING IN THIS SECTION LIMITS LIABILITY FOR FRAUD, WILFUL MISCONDUCT, DEATH OR PERSONAL INJURY CAUSED BY NEGLIGENCE, OR LIABILITY THAT CANNOT BE LIMITED BY APPLICABLE LAW.
17. Indemnification
Customer will defend, indemnify and hold harmless Yoetz.ai from any third-party claim arising from: (a) Customer's connection of a Tenant it was not authorised to scan, (b) Customer's misuse of the Service in violation of section 3, (c) Customer's violation of applicable law in connection with the Service, or (d) any chargeback initiated in violation of section 10. Yoetz.ai will defend, indemnify and hold harmless Customer from any third-party claim alleging that the Service, used as permitted, infringes that third party's intellectual property rights, subject to the cap in section 16.
18. Suspension & termination
Yoetz.ai may suspend or terminate the Service immediately for: material breach of these terms, non-payment more than 14 days overdue, suspected unauthorised scanning, chargeback activity, or activity that threatens the security or stability of the Service. Either party may terminate for convenience effective at the end of the then-current billing period per section 11. Termination does not entitle Customer to any refund (see section 10) and does not relieve Customer of obligations to pay outstanding fees.
19. Export controls & sanctions
Customer represents that it, its affiliates, and the Tenants it connects are not located in, organised under the laws of, or ordinarily resident in any country or region subject to comprehensive U.S., U.K. or E.U. trade sanctions, and are not on any restricted-party list (OFAC SDN, UK Sanctions List, EU Consolidated List). Customer will not use the Service in violation of applicable export control or sanctions laws.
20. Force majeure
Neither party is liable for failure or delay in performance (other than payment obligations) caused by events beyond its reasonable control, including acts of God, war, terrorism, civil unrest, labour disputes, internet or telecommunications outages, third-party platform outages (Stripe, Supabase, AWS, Cloudflare, OpenAI, Anthropic, Google), pandemics, or government action. The affected party will notify the other promptly and resume performance as soon as practicable.
21. Assignment
Neither party may assign these terms without the other's prior written consent, except that either party may assign to a successor in connection with a merger, acquisition, reorganisation or sale of substantially all assets, on written notice. Any other attempted assignment is void.
22. Notices
Legal notices to Yoetz.ai must be sent to contact@yoetz.ai with the subject line beginning 'LEGAL NOTICE'. Notices to Customer will be sent to the email on file for the account owner. Notices are deemed received on the next business day after sending, provided no bounce notification is received.
23. Changes to these terms
Yoetz.ai may update these terms with at least 30 days' notice via email and an in-product banner. Material changes — including changes to fees, refunds, liability or governing law — require Customer's affirmative acceptance on next sign-in. If Customer does not accept the updated terms, its sole remedy is to cancel before the new terms take effect per section 11; continued use after the effective date constitutes acceptance.
24. Governing law & venue
These terms are governed by the laws of England and Wales, without regard to conflict-of-law principles, and excluding the United Nations Convention on Contracts for the International Sale of Goods. Each party consents to the exclusive jurisdiction of the courts of London, England, except that either party may seek injunctive or equitable relief in any court of competent jurisdiction to protect its intellectual property or Confidential Information.
25. Severability & waiver
If any provision of these terms is found unenforceable by a court of competent jurisdiction, that provision will be modified to the minimum extent needed to make it enforceable and the remainder will continue in full force. A party's failure to enforce any provision is not a waiver of its right to do so later.
26. Entire agreement
These terms, together with the DPA, the Privacy Policy, the Cookie Policy and any signed order form, constitute the entire agreement between the parties and supersede all prior or contemporaneous agreements, proposals or representations regarding the Service. In the event of conflict, a signed order form controls over these terms, which control over policies linked from the website. Pre-printed terms on Customer purchase orders are expressly rejected.
